Smith and Williamson has advised on the conditional sale of Greenlight Digital and Greenlight Commerce to Brave Bison Group for £6.8m.
The expansion of Brave Bison is set to more than double the AIM-listed global social media and marketing company’s revenues in the first year following the acquisition.
If approved by shareholders at a general meeting on 31 August, the deal is expected to be completed the following day on 1 September.
Through the transaction, Brave Bison will gain Greenlight’s expertise in working with brands such as Dixons Carphone, Muller, GAP, and New Balance on multi-channel digital strategies and technological solutions.
Corporate finance advice on the takeover was provided by Iain Lownes and Paul Stagg, partner and senior manager respectively at Smith and Williamson, with tax advice carried out by Jenny Batchelor and Charlotte Spratt.
Lownes said: “It was a pleasure to work with the Greenlight team to deliver a deal that enables certain key shareholders to step away from the business while creating the opportunity for management to continue its growth.”
Warren Cowan, chairman at Greenlight, added: “We were pleased to work with the team at Smith & Williamson who gave considered and timely advice.
“They were always on hand to guide us through the transaction with a party that we believe to be the right strategic acquirer for the business and the management team.”
